These Terms of Service ("Terms") govern your access to and use of the websites, applications, AI agents, and related services (collectively, the "Services") provided by Quantum Agentic Health, LLC, a Delaware limited liability company doing business as Quantum Agentic Healthcare ("Quantum Agentic Healthcare," "we," "us," or "our"). Please read these Terms carefully.
By accessing or using the Services, creating an account, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, and Acceptable Use Policy, each incorporated by reference. If you do not agree, do not use the Services. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Quantum Agentic Healthcare provides a patient-representing technology platform and AI advocacy tools designed to help members coordinate care, understand insurance benefits, manage personal health information, and identify potential cost savings. We are a technology company. We are not a healthcare provider, health plan, insurer, pharmacy, or clearinghouse, and we do not practice medicine.
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of forming a binding contract to use the Services. The Services are intended for users located in the United States. You may use the Services on behalf of another individual only where you are legally authorized to do so (for example, as a parent, guardian, or holder of a valid healthcare power of attorney).
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use. We may add, modify, suspend, or discontinue features at any time. Our AI agents may take actions on your behalf only within the scope of the authorizations you grant (see Section 7), and may produce outputs that are incomplete or inaccurate; you remain responsible for decisions you make.
The Services do not provide medical advice, diagnosis, or treatment, and are not a substitute for professional medical judgment. Always seek the advice of a qualified health provider with any questions regarding a medical condition. If you think you may have a medical emergency, call 911 or your local emergency number immediately. See our Medical Disclaimer for details.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate information, keep it current, and notify us promptly at [email protected] of any unauthorized use. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.
To deliver the Services, you may authorize us to access, retrieve, and process your health and insurance information from third parties (such as providers, payors, pharmacies, and health information networks), including via TEFCA-based exchange. You may grant our AI agents authority to communicate with these parties on your behalf. You may revoke these authorizations at any time through your account settings or by contacting us, except to the extent action has already been taken in reliance on them. Our handling of your information is described in the Privacy Policy and HIPAA Notice of Privacy Practices.
Your use of the Services must comply with our Acceptable Use Policy. Among other things, you may not misuse the Services, attempt to gain unauthorized access, submit information you are not authorized to share, reverse engineer the Services, or use the Services to violate any law.
Certain features may be offered for a fee. Where fees apply, we will disclose them before you incur a charge. Unless otherwise stated, fees are non-refundable except as required by law. We may change pricing prospectively with reasonable notice.
The Services, including all software, models, text, graphics, and trademarks, are owned by Quantum Agentic Healthcare or its licensors and are protected by intellectual property laws. Except for the limited license granted to you, no rights are transferred. You retain ownership of the content and information you submit, and you grant us a license to use it solely to provide, maintain, and improve the Services consistent with our Privacy Policy.
The Services may interoperate with or link to third-party products and services that we do not control. We are not responsible for third-party content, policies, or practices, and your use of them is governed by their terms.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUM AGENTIC HEALTHCARE AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Quantum Agentic Healthcare and its affiliates from any claims, losses, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or third-party right.
Please read this section carefully — it affects your legal rights. Except where prohibited by law, you and Quantum Agentic Healthcare agree to resolve any dispute through binding individual arbitration administered by a recognized arbitration provider, and you waive the right to a jury trial and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms by emailing [email protected].
You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Sections that by their nature should survive termination (including Sections 10, 12–15, and 18) will survive.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Services or by other reasonable means. Your continued use after the changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 15. Subject to Section 15, the state and federal courts located in the State of Delaware will have exclusive jurisdiction over any matters not subject to arbitration.

We collect information to operate our patient-representing platform, provide AI advocacy, and improve outcomes — always under strong privacy and security controls. We do not sell your personal information.
Some health information we handle on behalf of members or partners may constitute "protected health information" (PHI) governed by the Health Insurance Portability and Accountability Act (HIPAA). Where HIPAA applies, our handling of PHI is also governed by our HIPAA Notice of Privacy Practices, and in the event of a conflict regarding PHI, that Notice controls. This Privacy Policy governs information that is not PHI (for example, website and marketing data).

We collect information you provide directly, automatically through your use of the Services (see our Cookie Policy), and from third parties you authorize us to access, such as providers, payors, and health information networks.
We share information with: (a) providers, payors, pharmacies, and government systems as needed to act on your behalf; (b) service providers who process data under contract and confidentiality obligations; (c) parties to a corporate transaction (e.g., merger or acquisition); and (d) authorities when required by law. We do not sell your personal information, and we do not use or disclose PHI for marketing without authorization.
Our privacy-preserving technology allows us to generate de-identified, aggregated insights that cannot reasonably be used to identify you. We may use and share such de-identified information to improve outcomes for populations and advance medical research, consistent with applicable law.
You may access and update your account information, revoke authorizations, and request a copy or deletion of your information, subject to legal and operational limits. To exercise choices, contact [email protected].
Depending on your state of residence (for example, California, Colorado, Virginia, and others), you may have rights to know, access, correct, delete, and opt out of certain processing, and to be free from discrimination for exercising those rights. We honor verifiable requests as required by applicable law.
We retain information for as long as needed to provide the Services, comply with legal obligations, resolve disputes, and enforce agreements, after which we delete or de-identify it.
We implement administrative, technical, and physical safeguards designed to protect your information, including encryption in transit and at rest and least-privilege access controls. No method of transmission or storage is 100% secure.
The Services are not directed to children under 13, and we do not knowingly collect their information except where a parent or guardian uses the Services on a minor's behalf as permitted by law.
We may update this Privacy Policy. Material changes will be communicated through the Services or by other reasonable means, and the "Last updated" date above will reflect the revision.

Quantum Agentic Health, LLC, a Delaware limited liability company d/b/a Quantum Agentic Healthcare, is committed to protecting the privacy of your protected health information ("PHI"). We are required by law to maintain the privacy of PHI, to provide you with this Notice of our legal duties and privacy practices, and to abide by the terms of the Notice currently in effect.
We may use and disclose your PHI to coordinate the services you request — for example, to obtain your records from providers, communicate with your health plan about benefits and claims, and support care coordination on your behalf.
Other uses and disclosures not described in this Notice will be made only with your written authorization, which you may revoke at any time in writing, except to the extent we have already acted in reliance on it.

We participate in nationwide interoperability frameworks, including TEFCA, on a request-only basis. This means you may request access to your health information through such exchanges; you cannot use our Services to share your health information with other participants in TEFCA.
We are required to maintain the privacy of PHI, notify affected individuals following a breach of unsecured PHI, and follow the terms of the Notice currently in effect. We reserve the right to change this Notice and to make the revised Notice effective for PHI we already have, as well as any we receive in the future.
If you believe your privacy rights have been violated, you may file a complaint with us using the contact information below, or with the U.S. Department of Health and Human Services, Office for Civil Rights. You will not be retaliated against for filing a complaint.

Our AI agents act on your behalf within the authorizations you grant. You agree not to direct the agents to take actions that are unlawful, that you are not authorized to take, or that would violate the rights or policies of third parties (including providers, payors, and government systems).
Report suspected violations or security issues to [email protected]. We may investigate, remove content, and suspend or terminate access for violations, and may cooperate with law enforcement where appropriate.
We may modify this AUP at any time. Continued use of the Services after changes take effect constitutes acceptance.
